These Terms and Conditions ('Terms') govern your access to and use of the website, products, and services provided by CV. Solusi Indonesia Digital, operating under the name SolusiID ('SolusiID,' 'we,' 'our,' or 'us').
SolusiID provides technology services, software development, GameCP RF Online, and multi-tenant EV Charging Software as a Service (SaaS), along with related products and support services.
By accessing our website, creating an account, purchasing a subscription, starting a free trial, or using any of our products or services, you agree to these Terms. If you do not agree, you must discontinue the relevant use.
If you use our services on behalf of a company or other organization, you represent that you are authorized to accept these Terms on its behalf.
For the purposes of these Terms:
You must have the legal capacity and authority required under applicable law to use our products and services and enter into binding agreements.
Certain products and services may require you to create an account or provide information necessary to register, authenticate, or manage your subscription.
When registering or maintaining an account, you agree to:
We may restrict, suspend, or request verification of an account where reasonably necessary to protect our systems, users, or services, or to comply with applicable law.
SolusiID offers technology products and services that may vary in features, availability, pricing, technical requirements, and service conditions.
Software development, custom application development, system integration, technical consulting, maintenance, and related work will be provided according to the agreed project scope, specifications, timeline, deliverables, and commercial terms.
Any material changes to the agreed scope, requirements, or deliverables may require additional fees, revised timelines, or written approval from both parties.
GameCP RF Online provides tools and functionality for managing supported RF Online game server environments. Availability and compatibility may depend on the server configuration, software versions, infrastructure, and third-party components used.
Customers are responsible for ensuring that their use of the product and the game server environment complies with applicable law, intellectual property rights, and the terms governing any third-party software or services they use.
Our EV Charging SaaS is intended for Charge Point Operators (CPOs) and other authorized business customers to manage supported electric vehicle charging operations through a software platform.
Available features may include tenant management, charging infrastructure management, operational monitoring, reporting, and integrations, depending on the subscription, deployment, and configuration.
Customers are responsible for their charging infrastructure, hardware, electricity supply, site operations, regulatory compliance, and any third-party services connected to the platform, unless otherwise agreed in writing.
SolusiID does not guarantee uninterrupted operation of third-party chargers, networks, payment providers, telecommunications services, or other systems outside its reasonable control.
Certain products may offer a free trial or limited access period. The duration, features, restrictions, and eligibility requirements of a trial will be communicated through the relevant product or offer.
GameCP RF Online may offer a free trial for seven (7) days, subject to the conditions presented when the trial is activated.
After the trial expires, continued use may require renewal, extension, or purchase of an applicable paid plan. Where available, customers can manage renewal or extension through the GameCP interface.
A free trial does not guarantee that every feature, integration, or level of support available under a paid plan will be included.
Subscription products, including EV Charging SaaS, may be offered under monthly, annual, or other billing arrangements as displayed or agreed at the time of purchase.
For subscription services:
Unless expressly stated in the applicable offer or agreement, a free trial should not be interpreted as a commitment to provide the service free of charge indefinitely.
Customers agree to pay all fees applicable to the products or services they purchase, as stated on the relevant product page, order, invoice, subscription plan, or written agreement.
Unless otherwise agreed in writing:
Payments processed by third-party payment providers may also be subject to their respective terms, conditions, and privacy policies.
Refund eligibility, if any, will be determined by the applicable product policy, written agreement, and mandatory consumer protection laws. Nothing in these Terms excludes refund rights that cannot lawfully be excluded.
You agree not to use our website, products, or services to:
We may investigate suspected violations and take reasonable action to protect our users, customers, products, and systems, subject to applicable law and any relevant agreement.
Customers are responsible for:
Customers remain responsible for decisions and actions taken using information, reports, configurations, or outputs provided by our products, except where responsibility is otherwise established by an applicable agreement or law.
Unless otherwise agreed in writing, SolusiID or its licensors retain ownership of the intellectual property rights in our pre-existing software, products, source code, platform architecture, tools, libraries, documentation, trademarks, designs, and other proprietary materials.
These Terms do not transfer ownership of SolusiID intellectual property to a customer. Customers receive only the rights expressly granted under the applicable license, subscription, or written agreement.
Customers retain their rights to data, content, materials, and intellectual property they own and provide to SolusiID. Customers grant SolusiID permission to use, host, reproduce, transmit, or process those materials only as reasonably necessary to provide the contracted products or services, provide support, and meet applicable legal obligations.
Ownership and licensing of custom software, source code, designs, documentation, and other project deliverables will be governed by the applicable proposal, statement of work, contract, or written agreement.
If no specific ownership transfer is agreed in writing, no transfer of ownership should be inferred solely from the delivery or payment for a project.
Each party may receive non-public business, technical, financial, operational, or other confidential information from the other party in connection with the services.
Where information is identified as confidential or should reasonably be understood to be confidential, the receiving party should use it only for the relevant business purpose and take reasonable steps to prevent unauthorized disclosure.
Confidentiality obligations do not apply to information that is publicly available through no breach, was lawfully known before disclosure, is independently developed without use of the confidential information, or is lawfully received from another source without a duty of confidentiality.
A party may disclose confidential information where required by law or a valid legal order, subject to any legally permitted notice and disclosure limitations.
Any separate non-disclosure agreement or confidentiality clause will apply according to its terms and will prevail where it expressly conflicts with this section.
SolusiID processes personal information in accordance with its Privacy Policy and applicable data protection laws.
By using our products or services, you acknowledge that personal information may be processed as described in the Privacy Policy, subject to any consent or other legal basis required by applicable law.
Where SolusiID processes personal data on behalf of a business customer, the parties' responsibilities may be further specified in a separate service agreement or data processing agreement.
Customers must ensure that they have the necessary rights, notices, permissions, and legal basis for personal data they submit to or process through our products and services.
Our products and services may rely on or integrate with third-party services, including hosting providers, cloud infrastructure, payment providers, APIs, communication services, hardware, and external software.
Third-party services are subject to their own terms, policies, availability, and technical limitations. SolusiID is not responsible for independent third-party services to the extent that the relevant issue is outside our reasonable control, subject to applicable law and any express contractual commitments.
Customers are responsible for reviewing and complying with applicable third-party terms when using those services.
We aim to provide reliable products and services, but we do not guarantee that every service will always be available, uninterrupted, error-free, or compatible with every environment unless expressly agreed in a separate written service-level agreement.
Services may be temporarily unavailable due to scheduled maintenance, updates, technical issues, security incidents, infrastructure failures, or events beyond our reasonable control.
Where reasonably practicable, we may provide advance notice of planned maintenance that materially affects a service.
Any uptime commitments, support response times, recovery objectives, or service credits must be expressly stated in the applicable service-level agreement or other written contract.
SolusiID takes reasonable steps to maintain appropriate security measures for its products and services, as further described in our Privacy Policy and applicable service documentation.
No system can be guaranteed to be completely secure. Customers must also apply appropriate security measures to their own accounts, devices, infrastructure, credentials, and configurations.
Unless a backup or disaster recovery service is expressly included in the applicable plan or written agreement, customers are responsible for maintaining appropriate independent copies of customer-controlled data and configurations.
Customers should promptly notify SolusiID if they become aware of a suspected security incident affecting their use of our products or services.
Customers may stop using a product or service or terminate a subscription according to the cancellation process and conditions applicable to that product, plan, or written agreement.
SolusiID may suspend or restrict access where reasonably necessary to address a security risk, suspected unlawful activity, material breach of these Terms, overdue payment, or a requirement imposed by law or a third-party provider.
Where practicable and legally permitted, we will provide notice and an opportunity to resolve the issue before taking action, except where immediate action is reasonably necessary to protect users, systems, or other parties.
Upon termination or expiration, access to the relevant product or service may cease, and certain features or data may become unavailable. Customers should export or back up their data before termination where the product supports this functionality.
Any provisions that by their nature should continue after termination, including payment obligations, intellectual property, confidentiality, and applicable limitations of liability, will survive to the extent permitted by law.
To the extent permitted by applicable law, products and services are provided according to their stated features, documentation, and applicable agreements.
Except for commitments expressly stated in a written agreement or warranties that cannot legally be excluded, SolusiID does not guarantee that a product will meet every customer requirement, operate without interruption, or be free from all defects.
SolusiID does not control all third-party infrastructure, internet connectivity, hardware, external platforms, or customer-managed environments and cannot guarantee their performance or availability.
Nothing in these Terms excludes any warranty, guarantee, or right that cannot lawfully be excluded under applicable law.
To the extent permitted by applicable law, SolusiID will not be liable for indirect, incidental, special, exemplary, or consequential losses, including loss of profits, revenue, business opportunities, goodwill, or data, arising from the use of or inability to use our products or services.
To the extent permitted by law, SolusiID's liability for a claim will be assessed in light of the relevant product, service, facts, and applicable agreement.
Nothing in these Terms limits or excludes liability that cannot legally be limited or excluded, including any mandatory rights or remedies available under applicable law.
Where a separate written agreement sets out specific liability terms, those terms will apply to the extent of any inconsistency with this section.
To the extent permitted by applicable law, customers are responsible for claims, losses, or expenses arising from their unlawful use of our products or services, their breach of these Terms, or their infringement of third-party rights.
This section does not require a customer to indemnify SolusiID for losses caused by SolusiID's own breach, negligence, willful misconduct, or other conduct to the extent such allocation is prohibited by applicable law.
Any specific indemnification obligations agreed in a separate written contract will be governed by that contract.
We may update, improve, modify, or discontinue certain product features from time to time, subject to applicable agreements and law.
We may also revise these Terms to reflect changes in our products, services, business practices, or legal requirements.
The updated Terms will be published on the relevant page with a revised 'Last Updated' date. Where required by law or contract, we will provide additional notice or obtain consent before changes take effect.
Your continued use of a product or service after updated Terms take effect constitutes acceptance only to the extent permitted by applicable law.
These Terms are governed by the laws of the Republic of Indonesia, except where mandatory law provides otherwise.
The parties will endeavor to resolve disputes through good-faith discussions before pursuing formal proceedings.
If a dispute cannot be resolved through discussion, it may be brought before a competent court or other dispute resolution forum with jurisdiction under applicable law, subject to any separate written agreement.
Nothing in this section limits any mandatory rights or procedures available under applicable law.
These Terms, together with any applicable order, subscription terms, service-level agreement, privacy policy, or written contract, form the agreement governing the relevant use of our products and services.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
Failure or delay in exercising a right under these Terms does not constitute a waiver of that right.
Customers may not transfer their rights or obligations under these Terms without SolusiID's prior written consent, except where such restriction is prohibited by applicable law. SolusiID may transfer its rights or obligations as part of a lawful business reorganization or transfer, subject to applicable law.
